1. Acceptance of Terms
By accessing or using PoultricHQ (“the Platform,” “we,” “us,” or “our”), you agree to be bound by these Terms of Service (“Terms”). If you are using the Platform on behalf of a business or farm, you represent that you have the authority to bind that entity to these Terms. If you do not agree to these Terms, you may not access or use the Platform.
2. Description of Service
PoultricHQ is a cloud-based farm management platform designed for poultry farm owners and operators. The Platform provides tools for flock tracking, shed management, feed inventory, egg production recording, vaccination scheduling, sales management, financial reporting, staff management, and related features (collectively, the “Service”).
3. Account Registration
To use the Service, you must register for an account by providing accurate and complete information including your farm name, email address, and a secure password. You are responsible for:
- Maintaining the confidentiality of your login credentials
- All activity that occurs under your account
- Notifying us immediately at support@poultrichq.com if you suspect unauthorized access
You must be at least 18 years old to create an account. We reserve the right to suspend or terminate accounts that provide false information.
4. Subscriptions and Billing
4.1 Plans. The Platform is offered under subscription plans (Starter, Growth, and Professional) with pricing as displayed on the Billing page. All prices are in Nigerian Naira (₦) and billed monthly.
4.2 Free Trial. All plans include a 7-day free trial. No payment is required during the trial period. Access is automatically paused when the trial ends unless a subscription is activated.
4.3 Payment. Payments are processed through SafeHaven MFB, a licensed Nigerian microfinance institution. By initiating a payment, you authorize the charge to the payment method you provide. All payments are non-refundable except as required by applicable law.
4.4 Upgrades and Proration. If you upgrade your plan mid-billing period, unused days on your current plan are credited toward the new plan. You pay only the prorated difference.
4.5 Renewal. Subscriptions renew automatically each month on your billing date. You may cancel at any time from the Billing page; cancellation takes effect at the end of the current billing period.
4.6 Suspension. If a payment fails or your subscription lapses, access to your farm dashboard will be suspended. Your data is retained and restored immediately upon successful payment.
5. Acceptable Use
You agree not to:
- Use the Platform for any unlawful purpose or in violation of any applicable regulation
- Attempt to gain unauthorized access to any part of the Platform or another user’s account
- Reverse engineer, decompile, or disassemble any part of the Platform
- Upload malicious code, viruses, or harmful content
- Use the Platform to transmit unsolicited commercial communications
- Interfere with or disrupt the integrity or performance of the Platform or its infrastructure
- Resell, sublicense, or commercially exploit the Service without our written consent
6. Staff Accounts and Permissions
Farm owners may create staff accounts and assign permissions that determine what each staff member can access within the Platform. You are fully responsible for the actions of all staff accounts created under your farm. Ensure permissions are configured appropriately and revoke access promptly when a staff member’s employment ends.
7. Data and Content
You retain ownership of all farm data and records you enter into the Platform (“Your Data”). By using the Service, you grant PoultricHQ a limited, non-exclusive license to store, process, and display Your Data solely to provide and improve the Service.
You represent that you have all rights necessary to submit Your Data to the Platform and that doing so does not violate any third-party rights or applicable law.
8. Intellectual Property
All software, design, trademarks, logos, and content comprising the Platform (excluding Your Data) are the intellectual property of PoultricHQ and its licensors. Nothing in these Terms transfers any intellectual property rights to you. You may not reproduce, distribute, or create derivative works from any part of the Platform without our express written permission.
9. Availability and Modifications
We strive to maintain high availability of the Platform but do not guarantee uninterrupted access. We may:
- Perform scheduled or emergency maintenance that temporarily limits access
- Modify, suspend, or discontinue features with reasonable notice
- Update these Terms from time to time; continued use after changes constitutes acceptance
We will notify you of material changes to the Service or these Terms via email or an in-app notice.
10. Limitation of Liability
To the fullest extent permitted by applicable law, PoultricHQ shall not be liable for:
- Any indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, or business opportunities arising from use of or inability to use the Platform
- Errors, interruptions, or inaccuracies in the Service
Our total aggregate liability to you for any claim arising under these Terms shall not exceed the amount you paid to PoultricHQ in the three (3) months preceding the claim.
11. Disclaimer of Warranties
The Platform is provided “as is” and “as available” without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Platform will be error-free or that defects will be corrected.
12. Termination
You may terminate your account at any time by contacting us at support@poultrichq.com. We may terminate or suspend your access immediately, without prior notice, if you breach these Terms or if we are required to do so by law. Upon termination, your right to access the Service ceases. We may retain Your Data for a period as required by law or our data retention policy.
13. Governing Law
These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Lagos State, Nigeria.
